Terms of Service

1. What Illari is — and is not

Illari is an AI-powered research and analysis tool for financial markets. The Service provides data-driven analysis, educational content, and informational trade setups generated by artificial intelligence.

Illari is not a broker-dealer, investment adviser, or financial planner. Nothing in the Service constitutes personalized investment advice, a recommendation to buy or sell any security, or an offer or solicitation of any kind. All content is for informational and educational purposes only. You are solely responsible for your own investment decisions. Before making any financial decision, consider consulting a licensed financial professional.

Trading involves substantial risk. Securities and options trading can result in losses exceeding your initial investment. Past performance, backtests, scores, and AI-generated scenarios are not indicative of future results.

2. AI-generated content

Analyses in the Service are generated by artificial intelligence. AI-generated content can be incomplete, outdated, or incorrect. Market data displayed may be delayed and is provided “as is” from third-party sources without warranty of accuracy or completeness. Always verify important information independently before acting on it.

3. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Brokerage connections

If you connect a brokerage account via SnapTrade, you authorize read-only access to your holdings, positions, and trade history for the purpose of personalizing your analysis. Illari cannot execute trades or move funds. Your brokerage relationship remains solely between you and your broker, and your use of SnapTrade is also subject to SnapTrade's own terms.

5. Subscriptions and billing

Paid plans are billed through Stripe on a recurring basis until canceled. You may cancel at any time, effective at the end of the current billing period. Usage-based features (such as AI analysis credits) are subject to the limits of your plan. Fees are non-refundable except where required by law. We may change pricing with reasonable advance notice.

6. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) scrape, resell, or redistribute data or content from the Service; (c) attempt to bypass authentication, rate limits, or usage restrictions; (d) reverse engineer the Service; (e) use the Service to develop a competing product; or (f) interfere with the Service's operation or other users' access.

7. Intellectual property

The Service, including its software, design, branding, and content (excluding your own data), is owned by Illari and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes while these Terms are in effect.

8. Third-party services

The Service relies on third-party providers, including market data vendors, OpenAI, Supabase, Stripe, and SnapTrade. We are not responsible for the availability or accuracy of third-party services, and outages or errors on their side may affect the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ANALYSIS WILL BE ACCURATE OR PROFITABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILLARI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms or abuse the Service. Sections 1, 2, 9, 10, and 12 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. 13. Changes to these Terms
